Effective date: 19 October 2026

These Terms of Service (“Terms”) apply to your use of infinotechlabs.com and to any services you engage Infinotech Labs LLP (“Infinotech Labs”, “we”, “us”) to provide. Please read them carefully.

1. Acceptance of these Terms

By using this website or engaging our services, you agree to these Terms. If you sign a proposal, Statement of Work (SOW), Master Services Agreement or other written contract with us, that document applies to the engagement and takes priority over these Terms wherever they differ.

2. Our services and scope of work

We provide software development and related services, including custom software, web and mobile applications, CRM and business automation, UI/UX design, QA and testing, maintenance and support, website development, digital marketing and dedicated developer teams.

The scope, deliverables, timeline, fees and acceptance criteria for each engagement are set out in a proposal or SOW. Any change to the agreed scope must be confirmed in writing (email is enough) and may change the timeline and fees.

3. Your responsibilities

  • Provide accurate information, timely feedback, content and access needed for us to deliver the work
  • Keep any login details, keys and accounts we create or use for you secure
  • Make sure you have the right to use any materials, data, logos or content you give us
  • Use our services and deliverables only for lawful purposes

Delays caused by missing information, access or approvals may affect delivery dates.

4. Fees and payment

Fees, billing cycles and payment terms are set out in your proposal, SOW or invoice. Unless agreed otherwise, invoices are payable within the period stated on the invoice. We may pause work on an engagement if payments are significantly overdue, after giving you notice. Prices are exclusive of applicable taxes such as GST unless stated otherwise.

5. Intellectual property

Your deliverables. Once you have paid in full for an engagement, ownership of the custom source code, designs and other deliverables created specifically for you transfers to you.

Our pre-existing materials. We keep ownership of tools, libraries, frameworks, templates and know-how that we created before or independently of your project. Where these are included in your deliverables, we grant you a non-exclusive, perpetual licence to use them as part of those deliverables.

Third-party components. Open-source software, plugins, themes, fonts, stock images and other third-party materials remain subject to their own licences.

Portfolio. With your permission, we may mention your company name, logo and a description of the work in our portfolio and case studies. You can withdraw this permission at any time by writing to us.

6. Confidentiality

Both parties will keep each other’s confidential information private and use it only for the engagement. We are happy to sign a separate Non-Disclosure Agreement (NDA) before any detailed discussion.

7. Warranties and website content

We perform our services with reasonable skill and care. Any warranty or support period for a specific project is set out in its proposal or SOW. Content on this website is provided for general information only and may change without notice; it does not form an offer or contract.

8. Limitation of liability

To the extent permitted by law, our total liability arising from any engagement is limited to the fees you paid us for the services giving rise to the claim during the three (3) months before the claim arose. We are not liable for indirect or consequential losses, including loss of profit, revenue, data or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Termination

Either party may end an engagement by giving thirty (30) days’ written notice, unless your contract states a different notice period. You will pay for all work completed and costs committed up to the termination date. Sections on intellectual property, confidentiality, payment, limitation of liability and governing law continue to apply after termination.

10. Governing law and disputes

These Terms are governed by the laws of India. If a dispute arises, both parties will first try to resolve it through good-faith discussion for thirty (30) days. If it is not resolved, it will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, with the seat and venue in Ahmedabad, Gujarat, conducted in English. Subject to this, the courts at Ahmedabad, Gujarat have exclusive jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time. The latest version will always be on this page with its effective date. For active clients, we will notify you by email of material changes at least fourteen (14) days before they take effect.
